TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (the “Agreement”) constitute a legally binding contract between Pan Continent Inc. (operating as “allink.ca”) and any approved commercial client, purchaser, or user (the “Buyer”) accessing our portal or buying goods.

1. PORTAL ACCESS & ELIGIBILITY

Wholesale Intent: This Site is primarily a Business-to-Business (B2B) platform intended for verified commercial entities, print shops, and authorized resellers.
Public/Non-Corporate Exceptions: Individual public consumers may be granted access to B2B portal pricing on a case-by-case basis, subject to absolute approval by Pan Continent Inc., provided that their initial transaction meets our current corporate threshold and their projected annual procurement volume exceeds $5,000.00 CAD.

2. CURRENCY, PRICING & ORDER CANCELLATIONS

Currency: All wholesale listings, estimates, and invoices issued through the Site are strictly denominated in Canadian Dollars (CAD).
Pricing Errors: Pan Continent Inc. strives for absolute catalog accuracy. However, in the event that an item is mistakenly listed at an incorrect price (e.g., due to typographical or technical error), we explicitly reserve the right to cancel, refuse, or rescind any orders placed for that product, regardless of whether the order has been confirmed or payment has been processed. If payment has been completed, a full refund will be issued immediately.

3. PAYMENT TERMS & LATE INTEREST PENALTIES

Standard Forms of Payment: The Buyer may utilize major corporate credit cards, electronic funds transfers (EFT), or bank wire transfers for immediate checkout clearance.
Net 30 Credit Accounts: Eligible commercial buyers approved for credit extension may select Net 30 Days terms at checkout. Net 30 invoices must be settled exclusively via EFT or Bank Transfer.
Late Penalties: No late penalties apply within a grace window of twenty-one (21) days immediately following the 30-day invoice maturity date. If an invoice remains outstanding for more than twenty-one (21) days past its due date, it will trigger an automatic interest penalty accrued at a rate of 12% per annum calculated daily from the original due date until fully paid.

4. SHIPPING, DELIVERY & RISK OF LOSS

Fulfillment Responsibility: In exception to standard commercial shipping policies, Pan Continent Inc. retains full structural ownership and responsibility for the freight until the physical shipment is safely delivered to the address specified by the Buyer. Risk of loss or transit damage shifts to the Buyer only upon documented delivery confirmation at their dock or doorstep.

5. RETURNS & RESTOCKING FEES

Return Authorization Window: We accept product returns, including instances where the return is caused by a mistake or miscalculation made by the Buyer. However, the Buyer must formally notify Pan Continent Inc. of their intent to return the goods within 14 calendar days from the date the product was delivered.
Return Shipment Timeline: Once a return is approved, the Buyer must ship the items back to our facility within 72 hours either:
- Upon receiving a return shipping label from us (if applicable), or
- Upon receiving our official consent and instructions for the return.
Condition Requirements: To qualify for any financial credit or refund, returned items must arrive back at our facility in a completely sellable condition with original packaging completely intact and free from physical damage.
Deductions and Fees: The Buyer is solely responsible for the actual shipping cost of the return freight, plus a mandatory 15% restocking fee.
- For prepaid orders, these fees will be deducted from the final refund amount.
- For Net 30 corporate accounts, these combined amounts become due and payable by the Buyer immediately upon our facility receiving and logging the returned goods.

6. PRODUCT WARRANTIES & LIMITATION OF LIABILITY

Manufacturer Warranties Only: Pan Continent Inc. distributes commercial consumables and machinery. We do not provide an independent “lifetime warranty” on items. Instead, we pass through any valid, standard Manufacturer’s Warranties directly to the Buyer.

7. GOVERNING LAW AND JURISDICTION

This Agreement, its performance, and any legal disputes or contractual definitions arising between Pan Continent Inc. and the Buyer shall be governed exclusively by, and constructed in accordance with, the laws of the Province of Ontario
and the federal laws of Canada applicable therein. [1]
